1. Executive Summary
SpaceX went public on June 12, 2026 in the largest initial public offering in market history, pricing at $135 per share and raising roughly $75–86 billion at an implied valuation near $1.75 trillion. Shares gained 19% on day one and peaked above $225 four days later, briefly making it one of the two or three most valuable companies on earth. Seven weeks later, the stock trades near $108, roughly 20% below the offer price and more than 50% below the post-listing peak. Both the euphoria and the collapse were largely mechanical: fewer than 5% of total shares outstanding were actually available to trade at listing, and that scarcity, not a change in the underlying business, drove most of the initial spike. The same mechanism is now working in reverse.
Underneath the price action sits a genuinely rare asset. SpaceX's Connectivity segment, built on Starlink, generated $11.4 billion of 2025 revenue at a 63% adjusted EBITDA margin and operates roughly three-quarters of all active maneuverable satellites in low Earth orbit, a lead that no competitor, commercial or state-backed, is positioned to close in the medium term. That business alone would likely command a premium infrastructure multiple on a standalone basis. It is not standalone. It sits inside a consolidated entity that also includes a launch business burning cash to fund Starship, and, since a February 2026 merger, an AI segment built around xAI and X that lost more in operating income in 2025 than the entire company earned in adjusted EBITDA.
This note treats those two facts as equally true and equally important: SpaceX owns the closest thing to an infrastructure monopoly available to public investors today, and it has simultaneously converted that monopoly's cash flow into permanent funding for one of the most capital-intensive, competitively contested bets in corporate America. Neither fact cancels the other out.
Layered on top of the business-mix question is a governance structure that is unusually blunt even by the standards of founder-controlled technology companies. Elon Musk holds roughly 80–85% of total voting power through supervoting Class B shares while owning a minority of the economic interest, serves simultaneously as CEO, CTO, and Chairman, and controls board composition outright. SpaceX qualifies as a "controlled company" under Nasdaq rules, which exempts it from requirements that would otherwise require independent director majorities on nominating and compensation committees. Public shareholders are, structurally, financial passengers with no realistic mechanism to check management decisions, however capital allocation evolves.
The most immediate and mechanical issue facing the stock, however, is not governance or capital allocation. It is supply. This report is published two days before SpaceX's first earnings release as a public company and four days before the first scheduled lock-up tranche, when roughly 911.5 million shares, worth on the order of $115-120 billion at current prices and larger than the entire public float that has existed since the IPO, become eligible to trade. That single event, independent of anything in the earnings report itself, is likely to be the dominant driver of price action through the back half of 2026.
Our framework for this note is accordingly less about forecasting a number and more about separating three distinct and only loosely related questions that the market is currently pricing as one: (1) what is the Starlink infrastructure business worth on its own merits; (2) what optionality, and what risk, does the Space segment's Starship program represent; and (3) how should investors price a governance structure and capital-allocation pattern that gives one person effectively unchecked authority over the answers to the first two questions.
2. Business Overview
SpaceX reports in three segments following the February 2026 merger that folded xAI, X (formerly Twitter), and Grok into the consolidated entity at a combined valuation of roughly $1.25 trillion.
Space: the original business. Falcon 9, Falcon Heavy, and the Dragon crew capsule generate external launch revenue from NASA, the Department of Defense, the National Reconnaissance Office, and commercial constellation customers. SpaceX carried roughly 90% of global commercial launch mass in 2025. The segment also absorbs the bulk of Starship development spending (nearly $3 billion in R&D in 2025 alone) and is currently loss-making on both an operating and adjusted EBITDA basis once that spending is included.
Connectivity: Starlink. More than 10.3 million subscribers across 164 countries as of March 2026, delivered via a constellation of roughly 9,600+ satellites. This is the company's profit engine: $11.4 billion of 2025 revenue, 49.8% year-over-year growth, and a 63% adjusted EBITDA margin. Average revenue per subscriber has declined over the past several years as the company traded price for global subscriber volume; SpaceX raised Starlink pricing in May 2026, signaling an intent to begin monetizing the installed base rather than continuing to prioritize growth at any ARPU.
AI (SpaceXAI): the newest and most controversial segment, comprising xAI's compute infrastructure, the Grok assistant, and X's advertising and subscription business. Reported 2025 revenue of $3.2 billion came with an operating loss of $6.4 billion; the AI segment lost more than twice its own revenue in a single year, and its capital expenditure in the first quarter of 2026 alone ($7.7 billion) exceeded the combined capex of the Space and Connectivity segments.
The company's own framing, in its S-1, is not "rocket company with a satellite side business." It is an integrated space-to-AI infrastructure platform addressing what SpaceX estimates as a combined $28.5 trillion total addressable market across space, connectivity, and AI, excluding China and Russia.
Investors should treat that framing as the company's stated ambition, not a settled description of its economics: two of the three segments currently lose money, and the third is being asked to fund both.
3. Deep Dive: The Lock-Up and Liquidity Regime
This is the most structurally unusual feature of the SPCX story relative to a typical large-cap IPO, and it is the reason this note is timed to this specific week.
Standard U.S. IPOs impose a single 180-day lock-up that expires all at once. SpaceX and its underwriters instead built a staggered, multi-trigger release schedule, a function of the company's unprecedented size and its unusually broad shareholder base of employees, early venture investors, and secondary-market participants who had been trading SpaceX stock privately for years before the IPO.

The mechanics matter more than the fundamentals for the next several months. A public float equal to roughly 4–5% of shares outstanding is extreme even for a large, closely held IPO, and it is the direct explanation for both the 67% run from the offer price to the June peak and the subsequent round-trip back toward, and briefly below, the IPO price. Scarcity inflated the stock on the way up; the unwind of that same scarcity is now working against it. The August 6 tranche alone is large enough, in dollar terms, to exceed the entire supply of stock that has been tradable since the company went public, a supply/demand event of a magnitude few listed companies ever face in a single week.
This is a liquidity and market-structure story, not a fundamentals story, and it should be evaluated as one. A large forced or incentivized wave of insider selling into thin secondary liquidity says relatively little about Starlink's subscriber trajectory or Starship's test cadence. It says a great deal about near-term price discovery, and about which holders choose to sell into it: early venture funds under return-the-fund pressure from limited partners, long-tenured employees converting decades of paper wealth, or secondary-market buyers who acquired shares privately at a wide range of cost bases.
4. Deep Dive: The Governance Ledger
SpaceX's dual-class structure is not a novel governance choice; Alphabet, Meta, and Berkshire Hathaway have all built durable public companies with concentrated founder voting control. What distinguishes SPCX is the degree of concentration and the specific combination of roles it enables.
Voting concentration. Musk holds Class B shares carrying ten votes each, versus one vote for Class A. Pre-IPO, this gave him approximately 85% of total voting power on an economic stake of roughly 42%; post-listing estimates from company disclosures and independent trackers put his voting control at 80–85%, still comfortably above the majority threshold regardless of how much Class A stock he sells down over time. Class B shareholders elect a majority of the board outright.
Role concentration. Musk serves simultaneously as Chief Executive Officer, Chief Technology Officer, and Chairman of the Board. The board's core function, overseeing management, is compromised by design when the person being overseen also chairs the body doing the overseeing and controls its composition. As one governance-focused institutional investor put it in declining to hold the stock, effectively only Musk can remove Musk as CEO.
Controlled-company exemptions. Because Musk's voting stake exceeds 50%, SpaceX qualifies as a "controlled company" under Nasdaq listing standards, exempting it from rules that would otherwise require independent-director majorities on nominating and compensation committees. This is a legal and structural fact, not a hypothetical risk.
Related-party structure around the AI merger. The February 2026 transaction that folded xAI, X, and Grok into SpaceX at a $1.25 trillion combined valuation was, in substance, a merger between two entities under common control. Board member and Valor Equity Partners CEO Antonio Gracias owned roughly 7.3% of pre-IPO Class A shares; Valor separately leases equipment to xAI worth more than $20 billion cumulatively, with xAI paying Valor $1.7 billion between January 2025 and February 2026, while Valor paid SpaceX's X subsidiary $1 million in each of 2024 and 2025. These are disclosed, not hidden, but they illustrate a capital-allocation environment where the same small set of insiders sits on multiple sides of large, recurring transactions.
Investor response. At least one large institutional allocator, Denmark's roughly $25 billion AkademikerPension fund, has publicly blacklisted the stock, citing what it called a "catastrophic" governance structure independent of valuation, and separately describing the shares as significantly overvalued. It is a minority position among sell-side coverage (of 33 analysts tracked, 27 rate the stock buy or strong buy), but it reflects a genuine and growing institutional governance debate, not a fringe objection.
None of this is disqualifying on its own; plenty of founder-controlled companies have compounded value for public shareholders for decades under similar structures. But it does mean the standard mechanisms public-market investors rely on to influence underperforming capital allocation (proxy contests, board refreshment, activist pressure) are effectively unavailable at SPCX for the foreseeable future, and the Class B lock-up running to June 2027 means Musk's own control position is the last, not the first, piece of stock to become liquid.

Q2 2026 (reporting August 4, 2026, not yet released as of this note): Sell-side consensus, per Morningstar/Fiscal.ai estimates, calls for approximately $6.8 billion in revenue and a loss of $0.22 per share. This will be SpaceX's first earnings report as a public company and is the trigger event for the August 6 lock-up tranche described above.
Reading the numbers: Consolidated revenue growth decelerated from 43% (2024 to 2025) to roughly 15% year-over-year in the first quarter of 2026, a combination of a tougher comparison base and the AI segment's revenue growing far more slowly than its losses. Starlink's economics are the story that supports the valuation; the Space and AI segments are, at present, capital consumption, not capital generation. SpaceX entered the IPO with a historically thin balance sheet for its size, commonly cited at under $4 billion of cash through most of 2025, a position the IPO proceeds and retained earnings are reported to have pushed above $80 billion, materially improving the company's ability to absorb Starship cost overruns or an extended AI investment cycle without external financing pressure in the near term.
6. Competitive Positioning
Launch. SpaceX's roughly 90% share of global commercial launch mass in 2025 rests on a reusability cadence that no competitor has matched at scale. Blue Origin's New Glenn (whose BE-4 engines also power ULA's Vulcan Centaur) is the most credible near-term U.S. competitor; Rocket Lab's Neutron is targeting medium-lift constellation and national-security missions but remains pre-scale; ULA continues to serve as a second, higher-cost national-security source. The most structurally significant long-term competitive threat is China, where reusable, methane-fueled vehicles such as Zhuque-3 and Long March 12A are explicitly designed to match Falcon 9 on cost per kilogram, backed by a state program that flew a record 83 orbital missions in 2025. A separate, durable ceiling on SpaceX's launch share has nothing to do with competitive execution: NASA and the Department of Defense maintain deliberate multi-source procurement policies specifically to avoid single-provider dependency, which caps how much of that market SpaceX can win regardless of its cost advantage.
Connectivity. Starlink's roughly 10.3 million subscribers and ~9,600-satellite constellation give it the largest working LEO broadband network by a wide margin. Amazon's Kuiper/Leo project is the best-funded challenger, with more than $10 billion committed toward a 3,236-satellite constellation, but faces the structural irony of needing to launch much of that constellation on rival rockets, including SpaceX's own Falcon 9, while an FCC deployment mandate (50% of the constellation by July 2026) appears likely to be missed. OneWeb/Eutelsat, Viasat, and Hughes compete at the margins for enterprise and government connectivity; AST SpaceMobile is pursuing a differentiated direct-to-cell architecture rather than competing head-on for broadband share.
AI. This is the segment where SpaceX's competitive position is weakest relative to its ambition. xAI/Grok competes against OpenAI, Google DeepMind, Anthropic, and Meta, all better-capitalized on a standalone basis or backed by hyperscaler balance sheets, and all further along on frontier model development by most independent benchmarks. SpaceX's structural advantage here, if one exists, is proprietary access to Starlink-adjacent compute and orbital infrastructure ambitions rather than demonstrated model leadership, and it is being funded by diverting cash flow from a genuinely dominant business (Starlink) into a genuinely contested one (frontier AI).
7. Valuation
At a recent price near $108 and roughly 13.0 billion shares outstanding, SPCX carries a market capitalization of approximately $1.48 trillion, down from a post-listing peak near $2.6-2.7 trillion and roughly 20% below the $135 IPO price.
On consolidated trailing metrics, that values the company at approximately 79x 2025 revenue and well over 200x 2025 adjusted EBITDA, multiples that only make sense if the market is pricing the company on something other than its current consolidated financials. What appears to be priced in is closer to a sum-of-improbable-outcomes framing: continued Starlink subscriber and ARPU growth sustaining a premium infrastructure multiple on that segment alone; Starship eventually hitting its cost and reuse targets, unlocking both a next-generation Starlink constellation and deep-space/Mars optionality; and the AI segment achieving enough competitive relevance to justify its capital intensity, all funded indefinitely by Starlink cash flow without meaningful dilution or balance-sheet strain.
What appears comparatively under-priced, at least relative to how the market treats similar structural features elsewhere, is the governance discount. Other founder-controlled dual-class companies (Meta, Alphabet) have historically traded at a discount to what a comparable single-class peer would command, reflecting the reduced influence available to outside shareholders; it is not obvious the current SPCX price embeds a discount of similar magnitude, particularly given the added related-party complexity introduced by the xAI merger. Also arguably under-priced in the current level: the mechanical, near-term supply overhang from the lock-up schedule, which is a market-structure fact rather than a probabilistic risk: the August 6 tranche is scheduled, not speculative.
Sell-side sentiment remains notably more constructive than the price action: of 33 analysts covering the stock, 27 rate it buy or strong buy, five hold, and one sell, with a median price target near $226, implying roughly 77% upside from current levels. That gap between consensus sell-side framing and realized price performance since the IPO is itself a data point worth weighing, not dismissing in either direction: it can reflect analysts anchoring to the IPO narrative before the lock-up mechanics were fully priced, or it can reflect a genuine view that the post-IPO decline is a liquidity event unrelated to fundamentals. The report published alongside Q2 earnings on August 4 will be the first real test of which framing the market chooses to believe.
8. Bull and Bear Scenarios
Bull case.
Starlink is a genuine, difficult-to-replicate infrastructure asset: global LEO broadband distribution controlling roughly three-quarters of active maneuverable satellites, growing subscribers and (as of the May 2026 price increase) beginning to recover ARPU, at a 63% segment EBITDA margin. Falcon's reuse-driven cost advantage in launch is real and has proven durable against well-funded competitors for close to a decade. Starship, while behind schedule, represents a genuine call option on next-generation Starlink capacity, heavy-lift government contracts, and eventually interplanetary missions, the kind of optionality that is difficult to value with discounted cash flow but has historically rewarded early skepticism about Musk-led execution timelines. Under this case, the current ~50% drawdown from peak is read as a liquidity-driven dislocation created by the lock-up schedule, not a repricing of the business, and the resolution of the August unlock (once absorbed) removes the technical overhang and lets the stock re-rate toward the fundamentals of the Connectivity segment alone.
Bear case.
The governance structure is not a discount factor to be modeled around the edges; it is the central risk. A CEO who cannot be removed, a board he chairs and controls, and a pattern of related-party transactions layered through the February 2026 xAI merger together mean capital allocation decisions, including the decision to fund a loss-making AI segment at a scale exceeding the rest of the company's capex combined, are made without the ordinary checks public markets rely on. Under this case, the AI segment is not optionality; it is a structural drag that will keep consuming Starlink's cash flow in a field where SpaceX/xAI does not hold a demonstrated lead, for as long as the controlling shareholder chooses. The lock-up schedule compounds rather than resolves this: hundreds of billions of dollars of insider stock become progressively tradable through year-end, in a name where the fundamental disclosure (two full quarters as a public company) is still minimal, and where the price has already shown it can move 100%+ in either direction on float mechanics alone. Multi-source government procurement policy caps the one segment where SpaceX's competitive edge is uncontested, and Starship's continued delays (including a recent scrubbed test flight due to an engine ignition failure) keep the Space segment loss-making for longer than bulls currently model.
Both scenarios can be true simultaneously in different segments of the same company, which is precisely the point of this note.
9. Risks and Sensitivities
Prioritized, not exhaustive:
Governance and control. No realistic public-shareholder mechanism to check management or capital-allocation decisions; controlled-company exemptions from independent-committee requirements; CEO/CTO/Chairman roles held by the same person with majority voting control.
Related-party transaction structure. The February 2026 xAI/X/Grok merger and associated board-member equipment-lease and payment flows (Valor Equity Partners) create layered related-party exposure investors should track in every subsequent proxy filing.
Lock-up supply overhang. A scheduled, multi-tranche release of restricted shares through December 2026, beginning with an August 6 tranche larger in dollar terms than the entire float that has traded since the IPO; Musk's own Class B control stake remains locked until June 2027.
Cross-subsidization of a loss-making AI segment. AI-segment capex in Q1 2026 alone exceeded combined Space and Connectivity capex; the segment lost more than double its own revenue in 2025, funded by Starlink cash flow.
Execution risk in Starship. Continued development delays and test failures (including a recent scrubbed launch attempt) directly affect the Space segment's path to profitability and the credibility of next-generation Starlink and deep-space optionality embedded in the valuation.
Customer concentration and procurement policy. NASA, DoD, and NRO represent a large share of Space segment revenue; deliberate multi-source procurement policy structurally caps SpaceX's addressable share of government launch demand.
Competitive intensity across all three segments. Amazon Kuiper/Leo in connectivity; Blue Origin, Rocket Lab, ULA, and Chinese state programs in launch; OpenAI, Google, Anthropic, and Meta in AI; each segment faces a well-capitalized rival.
Regulatory and geopolitical exposure. Starlink spectrum allocation, national-licensing requirements, and government scrutiny of foreign access to the network in multiple jurisdictions.
Key-person concentration. Musk's attention is divided across Tesla, xAI/X, SpaceX, and other ventures; the controlled-company structure means this concentration cannot be diversified away by the board.
Valuation risk. Even after a roughly 50% drawdown from peak, the stock continues to price multiple trillion-dollar-scale outcomes across three segments simultaneously.
10. Conviction and Portfolio Framework
The following is offered as an interpretive framework for readers doing their own position-sizing work, not a recommendation.
SPCX does not fit cleanly into a standard sleeve. It has the growth and margin profile of a best-in-class infrastructure company (Connectivity), the cash-burn and execution-risk profile of a pre-revenue moonshot (Space/Starship), and the competitive-intensity and capital-intensity profile of a frontier AI lab (AI segment), wrapped in a single security with governance rights closer to a private company than a typical public one. Readers who want pure exposure to the Starlink thesis specifically should recognize they cannot actually buy that thesis in isolation; they are buying all three segments and the governance structure that allocates capital between them.
Where this fits in a thematic AI/industrial/space sleeve is a function of how much weight an investor puts on each of three separate judgments: conviction in Starlink's standalone economics (high, on the numbers available); conviction in Starship's execution timeline and eventual payoff (genuinely uncertain, and historically prone to multi-year slippage even when the underlying physics eventually works); and tolerance for a governance structure that removes the normal recourse mechanisms available to minority shareholders in the event capital allocation disappoints (a binary comfort level more than a spectrum: either an investor accepts controlled-company risk as a cost of admission to founder-led compounding, or does not).
Given the scale of the near-term, calendar-driven supply event beginning August 6, position sizing decisions made before that date should account explicitly for the likelihood of continued technical/liquidity-driven volatility that is largely disconnected from the operating business, independent of whatever the August 4 earnings report shows.
